| Overview: |
Reporting to the CEO, the General Counsel will be responsible for overseeing and coordinating all legal affairs of the Company, managing a team of 2 attorneys and 1 paralegal, and will function as a key member of the Executive Management Team. The General Counsel will serve as a business and legal adviser to the Board of Directors and senior management on a wide range of issues, functioning as a partner as appropriate and offering sound and well-reasoned legal advice. The ideal candidate will be practical, pragmatic, have a high level of personal integrity, and be able to offer advice to satisfy the legal and business interests of the company.

| Responsibilities: |
RESPONSIBILITIES: The successful candidate will be an accomplished attorney with strong academics and law firm training, with at least 15 years corporate law leadership experience or partnership in global law firm with experience supporting internet companies in areas of securities, corporate law, finance and M&A. The General Counsel will manage and supervise eHarmony's corporate, business, IP, litigation, and compliance and work to ensure that eHarmony's attorneys function as true partners with the business. The General Counsel will be responsible for overall administrative management and knowledge management relating to the legal department and will have experience managing the provision of internal and external legal services in a cost effective manner. The successful candidate must have exceptional and proven people management skills to attract, retain, motivate and develop a talented legal team. As such, there is a strong preference for candidates who have managed large legal teams and their budgets, and who have proven to be an effective mentor and leader within this context. In addition to strong management skills, a successful General Counsel will have a broad business orientation, and will actively participate in the resolution of a wide range of general management issues including policy formation, the allocation of resources, and the achievement of the company's strategies.
This position involves actively supervising the development and dissemination of compliance policies. The General Counsel will provide counseling on the legal ramifications of significant company strategic imperatives, including possible acquisitions, joint ventures, and other possible investments, as well as counsel on global legal issues as they relate to the company's activities. The General Counsel will serve as the Corporate Secretary, and will advise on matters relating to corporate governance and specifically with respect to the requirements mandated by The Sarbanes-Oxley Act of 2002 ("Sarbanes-Oxley") and other relevant federal and state securities laws, regulations and rules.

| Qualifications: |
QUALIFICATIONS: • 15 + years legal experience encompassing both a well-respected, national law firm and corporate setting. • Law degree from a top-tier law school; • In-house experience as the General Counsel of a public company (or subsidiary thereof) preferred, preferably in a relevant industry • Corporate governance and securities compliance experience, including familiarity with SOX compliance; • Significant exposure to/understanding of intellectual property, including patent portfolio management • Experience supporting significant international operations; • Budgetary responsibility for a legal department; • General corporate practice with significant transactional experience negotiating mergers and acquisitions, and divestitures as well as joint ventures, and strategic alliances; • Experience advising Board and executive management; • Experience managing litigation and assessing legal risk in difficult situations; • Experience working with federal, state and local agencies on compliance issues and the possible adoption of new laws or regulations; • Demonstrated leadership and managerial skills. • Excellent analytical, communication and interpersonal skills, as well as strong ethics and integrity. • Must be practical, pragmatic, and able to develop "outside the box" solutions that satisfy both legal and business interests.
